1. Acceptance of terms

By accessing or using nogarbeats.com (the “Site”), you accept and agree to be bound by these Terms & Conditions (the “Terms”). If you do not agree with any part of these Terms, you must not use the Site or purchase any product through it.

These Terms apply to all visitors and customers, whether you are simply browsing, creating an account, or making a purchase.

2. About us

The Site is operated by Nogar, an independent music producer based in Guadeloupe, French Caribbean.

3. Eligibility

The Site is open to all visitors. There is no strict minimum age to browse or use the Site.

However, to make a purchase, you must have the legal capacity to enter into a binding contract under your own jurisdiction. If you are a minor (under 16 years old), you may only place an order with the prior consent of a parent or legal guardian, who remains responsible for the transaction and the use of the products purchased. If you use a payment method that belongs to your parent or legal guardian, you confirm that you have their explicit authorization to do so.

We reserve the right to cancel or refuse any order if we have reasonable grounds to believe that the buyer lacks the required legal capacity.

4. Account & security

Some features of the Site (notably tracking your past orders) require you to create a personal account. When you create an account:

• You agree to provide accurate, current, and complete information
• You are responsible for keeping your credentials confidential
• You are responsible for all activity that occurs under your account
• You agree to notify us immediately at contact@nogarbeats.com in case of unauthorized access or any breach of security

We reserve the right to suspend or terminate any account that we believe, in good faith, has been compromised or used in violation of these Terms.

5. Products & services

The Site offers digital products only:

• Beats — original instrumentals available under different license types
• Drum kits — sound libraries (one-shots and loops) for music production
• Custom productions — on request, by direct agreement

All products are delivered digitally, with instant download upon successful payment. There is no physical shipment. See the Delivery Policy for details.

Product descriptions, images, demos and prices are provided in good faith and are kept as accurate as possible. Audio previews may include a voice tag or audio signature for protection; the version delivered after purchase is clean and untagged.

6. Pricing & payment

All prices are displayed in Euros (EUR) and include any applicable taxes when relevant. The price displayed at checkout is the final price you pay — there are no shipping fees or hidden charges.

Payment is processed securely through PayPal (which also accepts major credit and debit cards). We do not store your full payment details on our servers; the transaction is handled directly by the payment provider.

Your order is considered final once the payment has been successfully processed. From that moment, the products are immediately available for download. See the Refund Policy for the conditions under which a refund may exceptionally be considered.

7. Licenses

Beats are sold under one of three license types: Leasing WAV, Unlimited Lease, or Exclusive. Each license grants specific rights and is documented by a personalized contract delivered after purchase.

The full breakdown of license types, included rights, and exclusions is detailed on the Licenses page, which forms an integral part of these Terms when you purchase a beat.

Drum kits are sold as royalty-free sound libraries. You may use the included sounds in your own productions for both personal and commercial purposes, but you may not resell, redistribute, or claim ownership of the sounds themselves as standalone files.

8. Intellectual property

All content on the Site — including but not limited to beats, drum kits, audio samples, written content, design, logos, code, images, videos, and the “Nogar Beats” brand — is the exclusive intellectual property of Nogar, protected under French and international copyright, trademark, and intellectual property laws.

Purchasing a license does not transfer ownership of the underlying composition or copyright. The producer retains all author’s rights and intellectual property over the original work. The license grants the buyer a right of commercial exploitation within the scope defined in the license contract — nothing more.

No element of the Site may be reproduced, copied, distributed, modified, or resold without prior written authorization from Nogar, except as expressly permitted by a valid license contract.

9. Acceptable use

By using the Site, you agree to:

• Use the Site and any product purchased only for lawful purposes
• Respect the scope of your license at all times (Leasing WAV, Unlimited Lease, or Exclusive)
• Provide accurate licensee information at checkout (the contract is generated based on that information)
• Credit the producer as required by your license — standard format: “(prod. by Nogar)”
• Refrain from any action that could damage, disable, or interfere with the proper functioning of the Site

10. Prohibited use & license revocation

The following uses are strictly prohibited and constitute a material breach of these Terms:

• Reselling, redistributing, or sublicensing a beat or drum kit purchased on the Site, in whole or in part, without prior written authorization
• Reuploading the beat as a standalone instrumental on streaming platforms (Spotify, Apple Music, YouTube, etc.) without it being part of an original creation by the licensee
• Removing, modifying or hiding the producer credit when it is required by the license
• Using the beat or drum kit in content that promotes hatred, violence, discrimination, harassment, terrorism, or any unlawful activity
• Using the beat for purposes that defame, damage the reputation, or unjustly compete with the producer or third parties
• Initiating a chargeback on a successfully delivered order without first attempting to resolve the matter through direct contact

Nogar reserves the right to take any legal action necessary to enforce these Terms, recover damages, and obtain injunctive relief against any breach. Any infringement may be prosecuted under applicable copyright and contract law.

11. Limitation of liability

The Site and its products are provided “as is”. While we do our best to ensure quality and availability, we make no guarantees regarding:

• The continuous or error-free operation of the Site
• The commercial success of any creation made using a beat or drum kit
• The compatibility of the audio files with every possible software or device

To the fullest extent permitted by applicable law, Nogar’s total liability arising from any product, purchase, or use of the Site is limited to the amount actually paid by the buyer for the product in question. Nogar shall not be liable for indirect, consequential, incidental, or special damages of any kind.

Nothing in these Terms limits any liability that cannot be limited under French or EU consumer protection law.

12. Indemnification

You agree to indemnify and hold Nogar harmless from any claim, demand, loss, liability, or expense (including reasonable legal fees) arising from:

• Your use of the Site or any product purchased
• Your breach of these Terms or of any applicable law
• Any infringement of a third party’s rights resulting from your use of a beat or drum kit beyond the scope of your license

13. Termination

We reserve the right to suspend, restrict, or terminate access to the Site or to any user account at any time, with or without notice, in case of material breach of these Terms or of any applicable law.

Upon termination, sections related to intellectual property, license terms, prohibited use, limitation of liability, and indemnification survive and remain enforceable.

14. Modifications

We may update these Terms at any time. The date of the latest update is shown at the top of this page. The version applicable to your purchase is the one in effect at the time the order is placed.

Material changes will be communicated through the Site (banner, email, or footer date). Continued use of the Site after a change implies acceptance of the new version.

15. Governing law & jurisdiction

These Terms are governed by French law. Any dispute arising from the use of the Site or from any purchase made through it shall be resolved in accordance with applicable law.

For consumers, the competent jurisdiction is determined by the consumer protection rules in force, which generally allow the consumer to choose between the court of the place of their domicile and the court of the place where the seller is based. For non-consumer (B2B) disputes, the courts of the place where the seller is based shall have jurisdiction.

Before initiating any legal action, the parties shall attempt to resolve the dispute amicably by contacting contact@nogarbeats.com.

16. Severability & miscellaneous

If any provision of these Terms is held to be invalid, illegal, or unenforceable by a competent court, the remaining provisions shall remain in full force and effect.

Failure to enforce any right or provision of these Terms shall not be considered a waiver of that right.

These Terms constitute the entire agreement between you and Nogar regarding the use of the Site, and supersede any prior agreements or communications, whether oral or written.
